The Registrant’s Annual Report on Form 10-K for the annual period ended December 31, 2021 could not be filed within the prescribed time period because of delays in the completion of management’s evaluation of the Company’s liquidity including the ability to meet day-to-day operation obligations. We expect to receive funding in the near term and proceed as quickly as possible with filing the Annual Report; however, no assurance can be given that the Company will be successful in filing the Annual Report prior to the expiration of the extension period. The Company assumes no duty to update the status of the review until the Annual Report is filed with the SEC.
